Wall Street’s top watchdog just said: “Absolutely not.”

In a shocking move, powerful proxy advisor Institutional Shareholder Services (ISS) is urging Tesla shareholders to vote against Musk’s trillion-dollar pay package, and the financial world is reeling.


The Pay Plan That Broke the Internet

This wasn’t some routine bonus.

Musk’s “mega performance equity award” could land him an extra 12% of Tesla’s stock — if the company hits outrageous milestones, like reaching a $8.5 TRILLION market cap (that’s more than Apple, Microsoft, and Google… combined).

The plan is tied to a long list of ambitious goals, including revenue growth, profitability, and market dominance.

If Musk hits them all, he walks away with a payday that dwarfs every other CEO in history.


But ISS Just Said What Everyone Was Thinking

In a blunt, brutal report released Friday, ISS didn’t hold back:

“The award has an astronomical grant value with far-reaching performance targets… but there are unmitigated concerns about its magnitude and design.”

Translation? The numbers are crazy, the structure is risky, and the entire thing smells like too much, too fast.


Tesla Claps Back HARD — And It’s Getting Ugly

Tesla wasn’t about to let that slide.

In a fiery post on X (formerly Twitter), which Musk owns, the company torched ISS’s recommendation, saying:

“ISS missed fundamental points of investing and governance. Elon receives nothing unless shareholders win big.”

They argue the plan is 100% performance-based — Musk only gets paid if Tesla soars — and that shareholders have already approved it twice in the past.

But now, with legal pressure mounting, Tesla is re-submitting the plan for a new vote in 2025. And the battle is officially on.
