Shares of InterGlobe Aviation Ltd (NSE: INDIGO), operator of India’s largest airline IndiGo, slid as much as 3% in early trade Thursday after a block deal worth approximately Rs 6,831 crore ($820 million) hit the exchanges. The transaction saw the Gangwal family, co-founders and longtime promoters of IndiGo, offload a significant portion of their stake amid ongoing efforts to pare their holding in the airline.
Gangwal Family Sells Over 1.56 Crore Shares Through Major Block Deal
In a large block deal executed before market open on June 13, over 1.56 crore IndiGo shares—equivalent to more than 4% of the company’s equity—changed hands on the NSE and BSE. Multiple sources, including exchanges and Bloomberg, confirmed that a consortium of domestic and foreign institutional investors bought into the sale, with demand reportedly surpassing the offer size.
The block was executed at a floor price of Rs 4,266 per share, reflecting a small discount to Wednesday’s closing price of Rs 4,370. This discount, along with the scale of the deal, contributed to the 3% fall as investors reassessed near-term supply and ownership dynamics.
Background: Gangwal Family’s Strategic Stake Reduction
The Gangwal family, led by IndiGo co-founder Rakesh Gangwal, has been steadily reducing their stake since 2022 after a public fallout with the other co-founder, Rahul Bhatia. Regulatory filings show that before this latest transaction, the Gangwal group held around 23% of InterGlobe Aviation. Thursday’s deal is expected to bring their holding below 19%.
In a previous statement, Rakesh Gangwal said, “As IndiGo expands and matures, it is time for me and my affiliates to gradually reduce our equity stake. We continue to believe in the company’s long-term potential and the management team.” (Source: company statement, February 2024)
Investor Demand Remains Strong Despite Share Overhang
Early trade reaction was muted despite the large size of the sale, with analysts highlighting that the block was oversubscribed. “Demand from long-term institutional investors was robust, reflecting enduring interest in the IndiGo growth story even as promoters pare their holding,” said Nitin Soni, senior aviation analyst at S&P Global Ratings.
Multiple investment banks, including Morgan Stanley and J.P. Morgan, acted as advisors and bookrunners for the block trade, which attracted both domestic mutual funds and global investors.
Why Is the Gangwal Family Selling?
Personal Diversification: Public disclosures and industry commentary suggest the move is part of a broader personal financial diversification plan by the Gangwal family.
No Change in Strategic Direction: Both Rakesh Gangwal and the company clarify that the family’s stake reduction does not signal a lack of confidence in IndiGo’s prospects.
Regulatory Relaxations: Recent changes in capital market rules have made it easier for founders to offload large stakes via block deals while managing market volatility.
IndiGo’s Growth Outlook Remains Positive
Despite the initial stock price dip, analysts maintain a bullish outlook on IndiGo’s fundamentals, citing strong demand in India’s aviation market, the company’s rapid fleet expansion, and stable profitability.
“IndiGo remains a market leader, with over 60% domestic market share. The strategic stake sale by co-founders is unlikely to impact daily operations or the airline’s aggressive expansion plans,” said Jyoti Prakash, aviation sector analyst at ICICI Securities.
